Terms and Conditions
Project Talab
Last updated: 30 May 2026
Effective from: 18 May 2026
1. Introduction and Acceptance
1.1 About these Terms
These Terms and Conditions ("Terms") govern your access to and use of Project Talab, an online marketplace operated by [YOUR FULL LEGAL NAME], an Australian sole trader trading as "Project Talab" (referred to in these Terms as "Project Talab", "we", "us", or "our"). Project Talab is operated from Sydney, New South Wales, Australia.
These Terms form a legally binding agreement between you and Project Talab. Please read them carefully. By creating an account, accessing the platform, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not create an account or use the platform.
1.2 Related Documents
These Terms should be read together with the following documents, which form part of your agreement with Project Talab:
- Privacy Policy — explains how we collect, use, and protect your personal data
- Code of Conduct — sets out the behavioural and ethical standards expected of all users on the platform
By accepting these Terms, you also agree to be bound by the Privacy Policy and Code of Conduct as they apply to you.
1.3 Changes to these Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or operational practices.
For material changes — defined as changes that affect payment, refund, cancellation, dispute resolution, content ownership, or the gender hard rule — we will notify you by email at least 30 days before the updated Terms take effect. During this notice period, you may close your account if you do not accept the changes. Continued use of the platform after the effective date constitutes your acceptance of the updated Terms.
For non-material changes — such as typographical corrections, formatting updates, or clarifications that do not affect your rights or obligations — updates may take effect immediately upon publication.
The "Last updated" date at the top of these Terms will always reflect the most recent version.
1.4 Acceptance
You accept these Terms by ticking the acknowledgement checkbox during account registration. This constitutes your electronic signature and is legally binding. We retain a record of your acceptance, including the date, time, and version of the Terms accepted.
2. About Project Talab
2.1 What Project Talab Is
Project Talab is an online marketplace that connects students seeking Islamic studies education with independent teachers offering tuition in those subjects.
Our role is to:
- Provide the platform on which teachers create profiles and offer their services
- Provide tools for students to discover, book, and pay for lessons
- Verify, to the best of our ability, that the documents and qualifications teachers submit to us are authentic
- Facilitate payments between students and teachers
- Provide a dispute resolution process where issues arise between users
2.2 What Project Talab Is Not
Project Talab is not an educational institution, religious authority, or accreditation body. We do not:
- Employ, contract, or directly engage teachers
- Supervise, attend, or control the content of lessons
- Issue qualifications, certificates, or Ijazahs
- Endorse the religious correctness or scholarly accuracy of any specific teaching
- Guarantee learning outcomes or progress
Teachers on Project Talab are independent contractors who set their own rates, choose their own schedules, use their own equipment, and may offer their services on other platforms simultaneously. They are not our employees or agents.
2.3 Scope of Teaching on Project Talab
Project Talab is a platform for the teaching and learning of Islamic sciences within the mainstream Sunni tradition. We do not provide a platform for content that incites violence, hatred, sectarianism, or extremism, or that falls outside mainstream Sunni scholarship. Teachers express their own scholarly views; Project Talab does not endorse specific positions on contested matters.
The lessons and content delivered through Project Talab constitute religious instruction in the Islamic sciences. By using the platform, you acknowledge that the lessons cover religious topics, may include references to Islamic primary sources (Quran, Hadith) and scholarly tradition, and that the teaching relationship is religious in nature.
2.4 Verification — What We Do and Do Not Verify
Our verification process includes:
- Confirming the authenticity of submitted government-issued identification
- Confirming, to the best of our ability, the authenticity of submitted qualification documents (certificates, Ijazahs, degrees)
- Reviewing each teacher's introductory video and application
- Ongoing review of teacher conduct based on student feedback and platform activity
Verification does not include:
- Endorsement of teaching competence, pedagogical skill, or scholarly authority
- Guarantee of religious accuracy or correctness of teaching content
- Validation of every claim made in lessons
- Continuous real-time monitoring of lesson content
We rely in part on truthful disclosure by teachers themselves. Where we discover false or misleading information, the teacher's account will be terminated and verification revoked.
3. Eligibility and Account Registration
3.1 Age Requirements
You must be at least 13 years old to register for an account on Project Talab. Users aged 13 to 17 may only register with the active consent and identification of a parent or legal guardian, who accepts these Terms on the minor's behalf and remains responsible for the minor's use of the platform.
Users under 13 years of age are not permitted to create accounts under any circumstances.
3.2 Identity Verification
All users must complete identity verification through Project Talab's registration process. This includes submitting valid government-issued identification. By registering, you confirm that:
- All submitted documents are genuine, current, and belong to you
- All information you provide is accurate, complete, and truthful
- You will not impersonate another person or misrepresent your identity
Project Talab reserves the right to request additional verification at any time and to suspend or terminate accounts where identity cannot be reliably confirmed.
3.3 Gender Hard Rule
Project Talab operates as a gender-segregated platform. Male students will only access male teachers; female students will only access female teachers. This rule is enforced at the platform level and cannot be circumvented.
Any attempt to misrepresent gender — including registering under false identification — will result in immediate and permanent account termination. Accounts terminated for gender misrepresentation are subject to the refund treatment set out in Section 11.3 of these Terms.
Gender cannot be changed after registration through the standard account settings. Genuine requests to update gender must be made in writing to Project Talab admin with supporting documentation; such requests are reviewed on a case-by-case basis.
3.4 Accuracy of Information
You agree to keep your account information accurate and up to date throughout your use of the platform. Submitting or maintaining false information is grounds for account suspension or termination.
3.5 One Account Per Person
Each user may hold one account on Project Talab. Creating additional accounts — including to evade a prior suspension or termination — is grounds for permanent termination of all accounts held by the user.
4. Student Terms
4.1 Booking Lessons
Booking a lesson on Project Talab is a request sent to the teacher, not a confirmed reservation. The teacher must accept the request within 24 hours for the lesson to be confirmed. If the teacher declines or does not respond within 24 hours, the booking is cancelled and any payment is refunded in full.
4.2 Payment
Payment is taken at the time of booking (processed via Stripe) and held until the lesson is confirmed complete by both parties. Once confirmed, payment is released to the teacher, less Project Talab's commission. If the teacher declines the booking, or does not respond within 24 hours, the payment is refunded in full to the original payment method, normally within 5 to 10 business days.
If a teacher declines a booking or fails to respond within 24 hours, the held payment is refunded in full to the student within a reasonable processing period (typically 3 to 7 business days).
4.3 Cancellation by Student
Project Talab applies a strict cancellation policy to respect the time of teachers and the integrity of bookings:
- More than 24 hours before lesson: full refund, or free reschedule at the student's choice
- Less than 24 hours before lesson: no refund, unless the student documents a genuine emergency (defined below)
- No-show by student: no refund
A "genuine emergency" means one of the following, supported by documentary evidence submitted to Project Talab within 7 days of the cancelled lesson:
- Sudden medical illness requiring care (supported by a medical note or pharmacy receipt)
- Hospitalisation of the student or an immediate family member
- Bereavement of an immediate family member
- Major unforeseen events affecting the student's location (such as a natural disaster, regional power outage, or government-imposed restriction) that prevent the lesson from taking place
The following are not accepted as genuine emergencies:
- Work commitments arising late
- Forgetting about the lesson
- Changing one's mind about taking the lesson
- Internet or equipment issues at the student's end (these are the student's responsibility)
- Foreseeable family or personal events
Where a genuine emergency is documented and accepted, Project Talab will issue a full refund or arrange a reschedule with the teacher's agreement. The decision of Project Talab on what constitutes a genuine emergency is final.
Independently of this policy, a teacher may at their own discretion offer a refund or reschedule within the 24-hour window. This is a matter for the teacher and not a right of the student.
4.4 Cancellation by Teacher
Where a teacher cancels a confirmed lesson at any time before it is scheduled to take place, the student will receive a full refund. Project Talab tracks teacher cancellations as part of its operational quality measures.
A teacher who cancels three or more confirmed lessons within a rolling 90-day period will be reviewed by Project Talab admin. Repeated cancellations may result in profile flags, suspension, or termination.
4.5 Rescheduling
Each confirmed lesson may be rescheduled once free of charge, provided the reschedule is requested more than 24 hours before the lesson's scheduled time and the teacher agrees. Subsequent rescheduling of the same lesson is treated as a cancellation followed by a new booking, and the cancellation rules in Section 4.3 apply.
4.6 No-Shows
If the student does not join the lesson at the scheduled time and remains absent for more than 15 minutes after the start, the lesson is treated as a no-show. The teacher is paid in full and no refund is issued.
If the teacher does not join the lesson at the scheduled time and remains absent for more than 15 minutes after the start, the lesson is treated as a teacher cancellation and a full refund is issued to the student. A teacher no-show is logged against the teacher's account.
4.7 Lesson Packs
Project Talab offers lesson packs (multi-lesson bundles) at a discounted per-lesson rate. The following terms apply to packs:
- Packs are tied to the purchasing student's account and are not transferable to any other person
- Packs expire 6 months from the date of purchase. Unused lessons after this date are forfeited.
- Where a pack is refunded, the refund is a pro-rata share of the money still held for the pack's unused lessons. Lessons already taken are not refunded.
- Where a pack is partially used and the student's account is terminated under Section 11, the refund treatment in Section 11.3 applies
Pack refunds (other than under termination scenarios) are at Project Talab's discretion and may be subject to a processing fee.
4.8 Lesson Completion and Disputes
Following each lesson, both the student and the teacher confirm that the lesson took place as expected. Where both parties confirm, the payment is released to the teacher (less commission) within Project Talab's standard payout schedule.
If neither party submits confirmation or dispute within 24 hours of the lesson's scheduled completion, the lesson is automatically treated as completed and payment is released.
Where one or both parties dispute that the lesson took place properly, the dispute is reviewed by Project Talab admin. The admin reviews available evidence — messaging history, platform records, and written statements from both parties — and issues a decision within 7 business days. Possible outcomes include:
- Full payment to teacher, no refund to student
- Full refund to student, no payment to teacher
- Partial split between the parties
Project Talab's decision on disputes is final.
5. Teacher Terms
5.1 Application and Verification
Teachers join Project Talab through a multi-step application process. By submitting an application, the teacher agrees that:
- All information and documents submitted are accurate, current, and lawful
- Project Talab may verify submitted documents and contact institutions, references, or third parties where appropriate
- Project Talab may reject any application without providing reasons
- Verification status may be revoked at any time if new information emerges that calls submitted credentials into question
- The teacher will inform Project Talab promptly if any submitted credential becomes invalid, withdrawn, or revoked
5.2 Independent Contractor Status
Teachers on Project Talab are independent contractors. They are not employees, agents, partners, or representatives of Project Talab. As an independent contractor, the teacher:
- Sets their own hourly rates and pack pricing
- Sets their own availability and schedule
- Uses their own equipment, internet connection, and lesson delivery tools
- May offer their services on other platforms simultaneously
- Is solely responsible for their own tax, insurance, and regulatory obligations in their country of residence
5.3 Commission and Pricing
Project Talab charges a commission of ten percent (10%) on each lesson completed on the platform, including individual lessons and lessons taken from packs. This commission is deducted from the teacher's earnings at the time of payout. The student sees the full lesson price; the teacher receives 90% of that price.
Project Talab will not change this commission rate without 60 days' written notice to all affected teachers. Teachers who do not accept a commission change may close their account during the notice period.
Teachers set their own lesson rates. There are no minimum or maximum rate boundaries imposed by the platform.
5.4 Payouts
When a lesson is confirmed complete by both parties, the amount for that lesson, less Project Talab's commission, becomes available in the teacher's earnings balance. Teachers request a withdrawal when they choose, rather than receiving payouts on a fixed schedule. Withdrawals are paid out by Project Talab in batches, to the payout method the teacher has nominated (bank transfer, Payoneer, Wise, or PayPal).
A minimum withdrawal amount applies. The applicable minimum is shown before a withdrawal is requested. Project Talab pays the transfer fee; it is not deducted from the teacher's earnings.
Withdrawals are available only for payout methods and currencies Project Talab is able to pay out to. Teachers are told which options apply to them before completing their payout details.
Withdrawal requires completed identity verification and a valid payout account. Teachers are responsible for keeping their payout details accurate and current. Incorrect details may delay a payout or cause it to be returned.
5.5 Tax Obligations
Teachers are independent contractors and are solely responsible for all taxation obligations arising from their earnings on the platform, including but not limited to income tax, goods and services tax, value-added tax, and superannuation or pension contributions, as applicable in their country of residence.
Project Talab does not deduct, withhold, or remit tax on the teacher's behalf, and does not provide tax advice. Where required by law to report earnings to a tax authority (such as the Australian Taxation Office under the Sharing Economy Reporting Regime), Project Talab will do so.
5.6 Off-Platform Contact and Payment
Teachers must conduct all lesson bookings, communications, and payments through Project Talab. The following conduct is prohibited:
- Soliciting students to communicate or book lessons outside the platform
- Sharing personal contact details (private email, phone, messaging app handles) for the purpose of off-platform contact
- Requesting or accepting payment outside the platform
Consequences of breach:
- A first incident of off-platform contact (without payment solicitation) will result in a formal warning
- A repeat incident of off-platform contact, or any incident of solicitation of off-platform payment, will result in account suspension or permanent termination
- Soliciting off-platform payment is treated as financial misconduct and results in immediate termination with no payout of pending earnings, in accordance with Section 11.3
5.7 Profile Content and Edits
Substantive edits to a live teacher profile must be reviewed and approved by Project Talab admin before they appear publicly. These include:
- Changes to subjects offered, qualifications, certifications, or scholarly background
- Changes to hourly rate or pack pricing
- Changes to course content, descriptions, or prerequisites
- Changes to profile photo or introductory video
The following may be edited without admin approval:
- Weekly availability and scheduling preferences
- Individual lesson confirmation and rescheduling
- Message replies and direct communications with students
- Response time and operational settings
5.8 Course Approval
Each new course a teacher wishes to offer must be submitted for Project Talab admin approval before it appears on the teacher's profile. Project Talab reserves the right to reject course submissions that fall outside the platform's scope (see Section 2.3) or that do not meet platform quality standards.
6. Platform's Role and Limitations
6.1 Project Talab as Intermediary
Project Talab provides the platform on which teachers and students connect. We do not provide the lessons themselves. Each lesson is a private agreement between the student and the teacher. Project Talab is not party to that agreement, does not supervise lessons, and is not responsible for the content, quality, accuracy, or outcome of any lesson.
6.2 No Endorsement of Teaching Content
Project Talab does not endorse, certify, or guarantee the religious accuracy or doctrinal correctness of any teaching delivered on the platform. Teachers express their own views and teach according to their own knowledge, training, and scholarly background. Students are responsible for evaluating whether a teacher's approach aligns with their own learning goals and beliefs.
6.3 Scope of Verification
The scope and limitations of Project Talab's verification process are set out in Section 2.4 of these Terms. Users acknowledge that verification does not amount to endorsement of competence or guarantee of religious or scholarly accuracy.
6.4 User Responsibility
Users are responsible for their own learning outcomes, equipment, internet connection, lesson recordings (if any), and decisions about which teacher or course to engage. Project Talab provides the platform and the tools; the outcome of any lesson is between the parties involved.
6.5 Platform Availability
Project Talab will use reasonable efforts to maintain platform availability and performance, but does not guarantee uninterrupted, error-free, or fault-free service. The platform is provided "as is" and "as available", subject to applicable consumer protections.
7. Payments and Fees
7.1 Payment Processor
All payments on Project Talab are processed by Stripe. Project Talab does not store your full payment card details; these are handled by Stripe and never reach our systems.
Teacher payouts are made directly by Project Talab, in batches, to the payout method a teacher nominates (bank transfer, Payoneer, Wise, or PayPal). Teachers provide their payout details for this purpose; these are encrypted and used only to make payments to the teacher.
Identity verification for both students and teachers is carried out by Didit. Project Talab does not store identity document images. See our Privacy Policy for what is retained.
7.2 Currency
Each teacher sets a single currency in which their lessons are priced, and every booking with that teacher is charged in it. The currency selector in the site header changes how prices are displayed only; the amount actually charged is always in the teacher's currency, and is shown with both its symbol and its three-letter code before you pay.
If your card is issued in a different currency, your bank may apply its own conversion and fees. That conversion is between you and your card issuer; Project Talab does not control it and does not receive any part of it.
Teachers are paid out in the same currency their lessons were priced in, so no foreign exchange is applied to their earnings.
7.3 Receipts and Statements
Students receive an automated email receipt for each completed payment. Teachers receive a monthly earnings statement summarising lessons completed, commission deducted, and amounts paid out. Project Talab does not currently issue formal tax invoices; teachers requiring tax invoices for local compliance should consult with their tax advisor.
7.4 Chargebacks
If you dispute a charge through your bank or card issuer rather than through Project Talab's dispute resolution process under Section 4.8, your account may be suspended pending investigation. Project Talab reserves the right to pass on any chargeback fee imposed by our payment processor to the user responsible. Repeated or unjustified chargebacks may result in permanent account termination.
8. Cancellation, No-Shows, and Rescheduling
8.1 Reference to Earlier Sections
The detailed cancellation, no-show, and rescheduling rules applicable to students and teachers are set out in Section 4 (Student Terms) of these Terms. This Section restates the key principles for clarity.
8.2 Student Cancellation
- More than 24 hours before lesson: full refund or free reschedule
- Less than 24 hours before lesson: no refund, unless a genuine emergency is documented and accepted by Project Talab admin
- No-show: no refund
8.3 Teacher Cancellation
- Full refund to student at any time before the lesson
- Three or more cancellations within a rolling 90-day period trigger profile review
8.4 Force Majeure
Where a lesson cannot proceed due to events beyond the reasonable control of either party — including but not limited to widespread internet outages, natural disasters, war, civil unrest, pandemic restrictions, or government action — the lesson will be rescheduled by mutual agreement. Neither party will be penalised. If rescheduling is not possible within a reasonable time, a full refund will be issued to the student.
9. Code of Conduct
9.1 Code of Conduct Document
The Project Talab Code of Conduct sets out behavioural and ethical standards expected of all users on the platform. By accepting these Terms, you also accept and agree to be bound by the Code of Conduct.
9.2 Consequences of Breach
Project Talab applies a tiered approach to breaches of the Code of Conduct or these Terms:
- Minor breach (first occurrence): formal warning, with an opportunity to discuss the matter with Project Talab admin
- Repeated minor breach, or a single significant breach: temporary account suspension of 7 to 30 days, at Project Talab's discretion
- Severe breach, or repeated significant breach: permanent account termination
Examples of conduct that may amount to a severe breach include, but are not limited to:
- Soliciting off-platform payment
- Misrepresenting gender to circumvent the platform's gender hard rule
- Harassment, abuse, or threats directed at another user
- Content that incites violence, hatred, sectarianism, or extremism
- Fraudulent use of payment methods or identity
- Distribution of unlawful content
Project Talab's decision on the categorisation and treatment of a breach is final, subject only to the appeal process set out in Section 11.2.
10. Content, Intellectual Property, and Messages
10.1 User-Generated Content
Users retain ownership of the content they post on the platform, including profile information, course descriptions, reviews, and messages. By posting content on Project Talab, you grant Project Talab a worldwide, non-exclusive, royalty-free licence to display, store, process, and distribute that content on the platform for the purposes of operating the service. This licence terminates when the content is deleted by the user, or when the user's account is terminated, except where retention is required for legal or safeguarding purposes (see Section 10.5).
10.2 Lesson Recordings
Project Talab does not record, store, or have access to live lesson video or audio content. Lessons take place through third-party communication tools (such as Zoom, Google Meet, or Microsoft Teams) chosen by the teacher and used directly by the parties.
Recording of lessons by either party is permitted only with the express, mutual consent of both the teacher and the student, communicated and recorded through the platform's messaging system before the lesson begins. Recording without consent is grounds for immediate account suspension or termination.
Where a recording is made with consent, the party that initiated the recording is responsible for its storage, use, and lawful handling. Recordings may not be shared, published, or otherwise distributed without the further consent of all parties present in the recording.
10.3 Teacher Course Content
Teachers retain ownership of all course materials they create — including worksheets, handouts, slides, audio explanations, and written summaries. By sharing materials with a student through the platform, the teacher grants that student a personal, non-transferable, non-exclusive licence to use the materials for their own learning. Students may not redistribute, share, publish, or commercially exploit teacher-created materials without the teacher's written permission.
10.4 Reviews
Reviews submitted by students become the property of Project Talab and may be displayed on the platform, edited for length, clarity, or compliance with platform standards, or used in marketing materials. Project Talab reserves the right to remove reviews that violate our content policies. Teachers may publicly respond to reviews through the platform's reply mechanism but may not have reviews removed except through Project Talab's review dispute process.
10.5 Messages — Access and Retention
Messages sent through Project Talab are not actively monitored by us in normal operation. However, Project Talab reserves the right to access, review, and retain message content where:
- A user reports a concern or breach of these Terms or the Code of Conduct
- A dispute requires investigation
- We have reasonable grounds to suspect harmful, illegal, or platform-violating activity
- We are required to do so by law, court order, or regulatory authority
All messages are stored on our servers and may be retained for up to 7 years for safeguarding, dispute resolution, and legal compliance purposes. After this period, messages are deleted unless legally required to be retained.
10.6 Project Talab Trademarks and Platform Design
The name "Project Talab", the Project Talab logo, the platform design, source code, and all related intellectual property are owned by Project Talab. Users may not use, copy, reproduce, or imitate these without prior written consent.
11. Account Suspension and Termination
11.1 Grounds for Suspension or Termination
Project Talab may suspend or terminate a user's account at its discretion, including in the following circumstances:
- Breach of these Terms or the Code of Conduct
- Submission of false, misleading, or fraudulent information at registration or thereafter
- Failure to pay, repeated chargebacks, or other payment irregularities
- Fraudulent activity or use of stolen payment methods
- Content that violates these Terms, the Code of Conduct, or applicable law
- Conduct that harms other users or undermines the platform
- Prolonged inactivity (no login for 24 consecutive months), following 30 days' email notice to the user
11.2 Notice and Appeal
Where Project Talab suspends or terminates an account, the user will be notified by email at the address on file. The notice will state the reason for the action and any associated refund or forfeiture treatment under Section 11.3.
The user may submit a single written appeal to admin@projecttalab.com within 14 days of the notice. The appeal must identify any material error in the factual basis for the termination or the categorisation of the breach. Project Talab admin will review and respond within 14 days. The outcome of the appeal is final.
11.3 Effect of Termination — Refunds and Payouts
Where an account is terminated for breach of these Terms or the Code of Conduct, any unused balance (including pack lessons) and pending payouts will be handled based on the nature of the breach:
(a) Termination for financial misconduct — including fraud, chargeback abuse, payment outside the platform, or theft of identity — results in full forfeiture of unused balance and pending payouts. These funds will not be refunded.
(b) Termination for conduct breach — including harassment, gender misrepresentation, hate speech, or content violations — results in refund of 50% of the user's unused balance. Pending teacher payouts will be released in full only where the breach is not connected to lessons taught (for example, breach occurring in messaging or profile content).
(c) Termination resulting from repeated minor breaches — where the underlying behaviour was not severe and termination was reached through escalating warnings — results in refund of the full unused balance.
Project Talab will inform the terminated user in writing of the termination category and the corresponding refund or payout treatment. The user may appeal the categorisation under Section 11.2.
11.4 Existing Bookings on Termination
Where an account is terminated, confirmed bookings within the next 7 days will normally proceed as scheduled, and the teacher will be paid for those lessons. Confirmed bookings beyond 7 days will be cancelled and refunded to the student in accordance with Section 11.3.
12. Liability and Disclaimers
12.1 Disclaimers
The platform is provided "as is" and "as available". To the maximum extent permitted by applicable law, Project Talab makes no warranties or representations, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not guarantee teaching outcomes, student progress, qualification awards, religious accuracy of teaching content, or the continued availability of any particular teacher or course.
12.2 Limitation of Liability
To the maximum extent permitted by applicable law, and subject to Section 12.3, Project Talab's total cumulative liability to any user arising from or in connection with these Terms or the use of the platform — whether in contract, tort, statute, or otherwise — is limited to the greater of:
- The total amount paid by the user to Project Talab in the 12 months preceding the claim
- One hundred United States Dollars (USD 100)
Project Talab will not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, loss of opportunity, or reputational harm, arising from the use of or inability to use the platform.
12.3 Exceptions to Limitation
The limitation of liability in Section 12.2 does not apply to:
- Liability for fraud, wilful misconduct, or gross negligence by Project Talab
- Liability for personal injury or death caused by Project Talab's negligence
- Any liability which cannot lawfully be excluded under applicable consumer protection law, including the Australian Consumer Law
- Liability arising from breach of established principles of Islamic commercial conduct, including unjust enrichment, excessive uncertainty (gharar), or interest-bearing obligations (riba)
Nothing in these Terms excludes, restricts, or modifies any guarantee, condition, warranty, right, or remedy under the Australian Consumer Law or any other applicable law that cannot be lawfully excluded.
13. Indemnification
You agree to indemnify, defend, and hold harmless Project Talab and its affiliates from and against any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from or related to:
- Your breach of these Terms, the Code of Conduct, or the Privacy Policy
- Your use of the platform in violation of applicable law
- Content you post, send, transmit, or share through the platform
- Your interactions with other users, whether on or off the platform
- Your violation of any third party's rights, including intellectual property rights, privacy rights, or contractual rights
This indemnification obligation survives termination of your account and these Terms.
14. Dispute Resolution
14.1 Internal Resolution First
Before commencing any legal action against Project Talab, you must first attempt to resolve the dispute by contacting us in writing at admin@projecttalab.com, providing a clear description of the dispute and the relief sought. Project Talab will respond within 30 days and engage in good-faith efforts to resolve the matter.
14.2 Escalation
If the dispute is not resolved through internal resolution, you may commence proceedings in the courts of New South Wales, Australia, in accordance with Section 17.2 of these Terms.
14.3 Class Action Waiver
To the maximum extent permitted by applicable law, you agree that any dispute arising from or in connection with these Terms will be brought in your individual capacity, and not as a plaintiff, claimant, or class member in any purported class, collective, or representative action. You waive any right to participate in a class action against Project Talab.
14.4 Time Limit on Claims
Any claim arising from or in connection with these Terms must be brought within 12 months of the event giving rise to the claim. Claims brought after this period are barred, except where applicable law prohibits such a contractual limitation.
15. Privacy
Your privacy is important to us. Our collection, use, storage, and disclosure of your personal information is governed by our Privacy Policy, which forms part of these Terms. By using the platform, you also agree to the Privacy Policy. The Privacy Policy is available at projecttalab.com/privacy.
16. Changes to these Terms
The full process for updating these Terms is set out in Section 1.3 of these Terms. In summary: material changes require 30 days' email notice and take effect at the end of the notice period; non-material changes may take effect upon publication.
17. Governing Law and Jurisdiction
17.1 Governing Law
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia.
17.2 Exclusive Jurisdiction
The courts of New South Wales, Australia, have exclusive jurisdiction over any dispute arising from or in connection with these Terms. You agree to submit to that jurisdiction. This clause is subject to any non-excludable consumer protection rights you may have under the law of your own country of residence.
